Facility Engineering: New management structure increases independence of subsidiaries

Reimund Blessing becomes Director of M+W Zander Luxembourg Holding S.A.

 

The technology group M+W Zander will implement changes in its management structure to focus on further strengthening its business divisions. Instead of a management holding company, a financial holding will now control the businesses of the operating companies. This will enable the affiliates to act with high independence in their respective markets. Remodeling the management structure also entails personnel changes at board level. The members of the board of the future financial holding company M+W Zander Luxembourg Holding S.A. will be Martin Gruschka and Reimund Blessing. Martin Gruschka is the founding partner of the new majority shareholder Springwater Capital, Reimund Blessing is the Chief Financial Officer of M+W Zander. The previous Board Members of M+W Zander Jürgen Giessmann (Chairman) and Helmut Laub resigned from their posts on the Board of Management. They will stand by the Holding’s side as consultants and will continue to be members of Supervisory Boards of subsidiary companies. Dr. Wolfgang Häfele, as Member of the Board of Management responsible for the facility management business will become Chief Executive Officer of the facility management division. So the strongly expanding services subsidiary M+W Zander D.I.B. Facility Management GmbH will be upgraded and converted into a jointstock company with headquarters in Stuttgart. Klaus Gärtner will remain Chief Executive Officer of M+W Zander Facility Engineering Ltd. based in Singapore. This subsidiary company is responsible for facility engineering and construction in the electronics industry. The electronics division is the largest business division of the group. A new division resulting from the merger of Automation and Engineering for Pharma, Chemistry and Automotive affiliates shall  become a joint-stock company, directed by Günter Lang on behalf f M+W Zander Luxembourg S.A..

 

The new structure increases the independence and flexibility of our perating subsidiaries. And it allows for more closeness to the customer as a foundation for the planned additional growth,” explained the designated director of M+W Zander Luxembourg Holding S.A., Reimund Blessing.

After restructuring, the M+W Zander Group will look like this:

M+W Zander Luxembourg Holding S.A. will act as a financial holding company at the top of the structure. Under it there will be the whollyowned subsidiary M+W Zander Beteiligungs GmbH which will be merged with M+W Zander Holding AG. The independent operating subsidiary companies are grouped under M+W Zander Beteiligungs GmbH:

  • M+W Zander D.I.B. Facility Management GmbH, which will be converted into a joint-stock company with headquarters in Stuttgart. It is responsible for the facility management business of the Group.

  • M+W Zander Facility Engineering Ltd based in Singapore. All activities in facility engineering and construction for the electronics industry will be managed from there.

  • Lang und Peitler GmbH, Ludwigshafen, new joint-stock company resulting from the merger of the business units Automation and Engineering for Pharma and Chemistry and Automotive

  • Other companies in the business sectors Products and InformationTechnology.

M+W Zander will explain the new organizational structure at a press conference in June 2006.
